SHELL REFINING COMPANY (FEDERATION OF MALAYA) BERHAD ("SRC" OR "THE COMPANY") - Clarification to the article published in Sin Chew Daily on 20 January 2016 entitled "China Shandong Hengyuan Petrochemical Co Ltd Proposed Takeover SRC at RM560 million" and The Edge Malaysia on 20 January 2016 entitled "Shell Refining mulls China firm takeover?". |
Reference is made to the recent newspaper articles concerning Shandong Hengyuan Petrochemical Co Ltd ("SHP") potentially acquiring the shares held by Shell Overseas Holdings Ltd ("SOHL"), the major shareholder of Shell Refining Company (Federation of Malaya) Berhad. The Board of Directors of SRC ("the Board") would like to clarify that SOHL is in discussions with SHP. Upon enquiry, the Board has been informed that whilst SOHL is considering a sale of its shares in the Company, no agreement for the sale of its shares has been reached with SHP or any other party. The Board would like to state that any sale of shares is a matter for SOHL, and confirms that the Board has not received any offers for the Company’s shares or received any notice on the potential investment mentioned in the newspaper articles. In addition, the Board wishes to further clarify that no decision has been made whether to convert the refinery owned by the Company into a storage terminal. The Board will make further announcement if and when it is appropriate or required. This announcement is dated 22 January 2016. |
